End User License Agreement
The terms you agree to when you use Gantt Excel. Please read this licence before using the software.
What your licence allows
The clauses below are the agreement. This section is the same thing in plain English, so you know what you are reading before you read it.
One licence covers one person. That person can install Gantt Excel and use it on the computers they work on.
Build as many Gantt charts as you like. There is no limit on projects, files or charts, and no extra fee for any of them.
Send your file to anyone. A Gantt Excel workbook carries the software inside it — that is how it works — so when you share the file, the engine goes with it. That is fine. Email it to a client, put it in a shared folder, attach it to a report.
Whoever opens it can read it. The workbook carries its licence with it, so it opens and displays properly. They can view the Gantt charts it contains, print them and export them.
Reading is where it stops. They cannot change the plan, and they certainly cannot use the file to build Gantt charts of their own. Both of those need a licence. Send your plan to anyone; anyone who wants to change it, or build their own, buys a licence. That is the whole agreement in a sentence.
Do not hand Gantt Excel out as a product. Sending a colleague your project schedule is sharing your work. Publishing the file as a downloadable template, selling it, or posting it for the public to pick up and start from is redistributing our software, and that is not permitted.
This summary is written for convenience. Where it and the clauses below could be read differently, the clauses are the agreement.
Free version distribution
You are hereby licensed to make unlimited copies of the Free Version and to distribute them to anyone, provided that all files remain intact. You may not sell the Free Version. Shareware and freeware catalogue websites are authorised to distribute it as a download file, hosted or linked to the GanttExcel.com site, without further permission from Gantt Excel.
1. Licence
By receiving, opening the file package and/or using Gantt Excel (the “Software”), you agree that this End User License Agreement is a legally binding and valid contract and agree to be bound by it. You agree to abide by intellectual property law and by all of the terms and conditions of this Agreement.
Unless you have a different licence agreement signed by GanttExcel.com, your use of Gantt Excel indicates your acceptance of this licence agreement and warranty.
Subject to the terms of this Agreement, GanttExcel.com grants you a limited, non-transferable licence, without the right to sub-license, to use Gantt Excel in accordance with this Agreement and any other written agreement with GanttExcel.com. GanttExcel.com does not transfer title in Gantt Excel to you; the licence granted to you is not a sale. This Agreement is a binding legal agreement between GanttExcel.com and the purchasers or users of Gantt Excel.
If you do not agree to be bound by this Agreement, remove Gantt Excel from your computer now and, if applicable, promptly return to GanttExcel.com by post any copies of Gantt Excel and related documentation and packaging in your possession.
In short: you are buying the right to use the software, not the software itself. This summary is for convenience and does not change the clause above.
2. Distribution
Except as expressly permitted by clause 3.2, Gantt Excel and the licence granted herein shall not be copied, shared, distributed, re-sold, offered for re-sale, transferred or sub-licensed in whole or in part; you may make one copy for backup purposes. For information about redistribution of Gantt Excel, contact GanttExcel.com.
For the avoidance of doubt, sending a workbook you have built to a person or organisation you have chosen, so that they can read the schedule it contains, is permitted under 3.2 and is not a breach of this clause — even though the workbook necessarily carries the Software, and its licence, within it.
In short: this clause stops Gantt Excel being handed out as a product. It does not stop you sending your own project file to the people who need to see it. This summary is for convenience and does not change the clause above.
3.1 Use
Gantt Excel is licensed per user. One licence entitles one named person to use the Software. Your licence to use Gantt Excel is limited to the number of licences purchased by you, and a licence may be used by that person on the computers they personally work on.
Within your licence there is no limit on the number of projects, files, workbooks or Gantt charts you create, and no limit on how long you keep them.
3.2 Use restrictions
You shall use Gantt Excel in compliance with all applicable laws and not for any unlawful purpose.
Your workbooks are yours, and you may share them
Any Gantt chart, schedule, workbook, report or export you produce with Gantt Excel belongs to you. You may share it with anyone you choose — colleagues, clients, contractors, suppliers, management — in any format, and no credit or attribution is required.
This includes sharing the workbook file itself. A Gantt Excel workbook contains the Software: that is how the schedule recalculates when it is opened, and it cannot be separated out. Sharing the file therefore means the Software travels with it, and that is expressly permitted for the purpose described in this clause.
The person you send it to may view, print and export it
A workbook carries its licence with it, so it opens and displays properly for whoever receives it. Anyone you send one to may open it, view and navigate the Gantt charts it already contains, read every date and dependency in the plan, and print or export what they see.
This permission is granted here by GanttExcel.com to whoever holds the workbook, for the purposes described in this clause. It is not a sub-licence granted by you, and nothing in it lets you assign or transfer your own licence — clause 1 continues to apply to that.
Editing and creating both require a licence
The permission above is to read the plan you sent. It goes no further. A recipient may not edit the workbook — not the dates, durations, tasks, resources, progress, or any other part of the plan it contains — and may not use the Software inside it to build a Gantt chart of their own, whether in that workbook, in a copy of it, or in any other file.
Both of those require a licence held by the person doing them. That is what a Gantt Excel licence is: the right to build and maintain project plans in Gantt Excel. A workbook you were sent lets you read somebody else’s plan; it does not let you make one, and it does not let you change theirs. If you want to do either, buy a licence — it is the same licence, at the same price, that the person who sent you the file holds.
Redistributing Gantt Excel is not permitted
The permission to share a workbook is a permission to share your work with people you have chosen. It is not a permission to distribute our software. You may not sell, offer for sale, publish to an online gallery, or place on a website, public server or download page any copy of Gantt Excel — whether as supplied, as a blank or emptied workbook, or in any modified or rebranded form — in a way that makes the Software available to the general public or to people at large.
The assignment, sub-licensing, networking, sale or distribution of copies of Gantt Excel is otherwise forbidden without the prior written consent of GanttExcel.com. It is a violation of this Agreement to assign, sell, loan, rent, lease or transfer your licence to use Gantt Excel.
In short: the file may go anywhere you send it, and whoever opens it may read, print and export the plan inside. Changing it or building a new one needs a licence, and handing the software out as a product does not become acceptable because a schedule happens to be in it. This summary is for convenience and does not change the clauses above.
3.3 Copyright restriction
This Software contains copyrighted material, trade secrets and other proprietary material. You shall not, and shall not attempt to, modify, reverse engineer, disassemble or decompile Gantt Excel. Nor may you create any derivative works or other works that are based upon or derived from Gantt Excel in whole or in part. For the avoidance of doubt, a Gantt chart you build using the Software is not a derivative work for the purposes of this clause.
GanttExcel.com’s name, logo and the graphics files that represent Gantt Excel shall not be used in any way to promote products developed with Gantt Excel. GanttExcel.com retains sole and exclusive ownership of all right, title and interest in and to Gantt Excel and all intellectual property rights relating thereto.
Copyright law and international copyright treaty provisions protect all parts of Gantt Excel, its products and its services. No program, code, part, image, audio sample or text may be copied or used in any way by the user except as intended within the bounds of the licence granted here. All rights not expressly granted hereunder are reserved to GanttExcel.com.
3.4 Limitation of responsibility
You will indemnify, hold harmless and defend GanttExcel.com, its employees, agents and distributors against any and all claims, proceedings, demands and costs resulting from or in any way connected with your use of GanttExcel.com’s Software.
In no event (including, without limitation, in the event of negligence) will GanttExcel.com, its employees, agents or distributors be liable for any consequential, incidental, indirect, special or punitive damages whatsoever (including, without limitation, damages for loss of profits, loss of use, business interruption, loss of information or data, or pecuniary loss) in connection with, arising out of, or related to this Agreement, Gantt Excel, the use of or inability to use Gantt Excel, or the furnishing, performance or use of any other matter hereunder, whether based upon contract, tort or any other theory including negligence.
3.5 Warranties
Except as expressly stated in writing, GanttExcel.com makes no representation or warranty in respect of this Software and expressly excludes all other warranties, express or implied, oral or written, including, without limitation, any implied warranties of merchantable quality or fitness for a particular purpose.
3.6 Governing law
This Agreement shall be governed by the laws of India. You hereby irrevocably attorn and submit to the non-exclusive jurisdiction of the courts of India. If any provision is considered unlawful, void or otherwise unenforceable, that provision shall be deemed severable from this licence and shall not affect the validity and enforceability of any other provision.
3.7 Termination
Any failure to comply with the terms and conditions of this Agreement will result in automatic and immediate termination of this licence. Upon termination of the licence granted herein for any reason, you agree to cease use of Gantt Excel immediately and to destroy all copies of Gantt Excel supplied under this Agreement. Financial obligations incurred by you shall survive the expiration or termination of this licence.
4. Disclaimer of warranty
THIS SOFTWARE AND THE ACCOMPANYING FILES ARE SOLD “AS IS” AND WITHOUT WARRANTIES AS TO PERFORMANCE OR MERCHANTABILITY OR ANY OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED. THIS DISCLAIMER CONCERNS ALL FILES GENERATED AND EDITED BY GANTT EXCEL AS WELL.
5. Consent to use of data
You agree that GanttExcel.com may collect and use information gathered in any manner as part of the product support services provided to you, if any, in relation to Gantt Excel. GanttExcel.com may also use this information to send you notices that may be of use or interest to you.
